FOR IMMEDIATE RELEASE

LINEO TO ACQUIRE EMBEDDED POWER CORPORATION

Lineo Gains DSP And Embedded Development Tools Expertise From Embedded
Power

NEW YORK - Jan. 31, 2001 - Lineo™, Inc., a leading innovator in embedded
Linux™ systems, real-time and high availability solutions, today announced
it has acquired significant additional products and capabilities through
a merger with Embedded Power Corporation, a leader in real-time operating
systems (RTOS) for digital signal processors (DSP) and microprocessors.
Terms of the deal are not being disclosed.
Embedded Power Corporation, headquartered in Houston, produces embedded
system development products and tools, such as the RTXC RTOS, for a broad
range of processors used in hard real-time applications where a small
footprint, high performance RTOS is an important consideration. In addition
to 32-bit and DSP processors, RTXC also supports 8-bit and 16-bit microprocesso
rs-a market that Lineo has not addressed because of processor architecture
requirements of Linux. Lineo will also gain expertise in the burgeoning
DSP market, which is important to device manufacturers who wish to combine
DSP and microprocessor technologies in the same product. Embedded Power's
offices in Houston and Austin will continue operation under the Lineo
name.
"Lineo is acquiring Embedded Power to better serve the needs of embedded
market developers," said Bryan Sparks, CEO and founder, Lineo, Inc. "Our
goal is to provide developers with the tools they need to develop their
embedded OS on their processor of choice. The addition of Embedded Power's
technology and expertise will enable Lineo to increase the breadth of
processor support for developers to include digital signal processors
as well as 8-bit and 16-bit microprocessors-allowing Lineo to serve a
broader range of device manufacturer needs."
"We see a multitude of technology and commercial advantages to merging
the two companies," said Tom Barrett, CEO and co-founder of Embedded Power
Corporation. "The combination of the RTXC technologies with Lineo Embedix™
and uClinux™ products brings a wealth of choices to embedded developers
in many application areas, especially those markets that use multi-core
architectures combining microprocessors with DSPs."
"We are excited about the merger with Lineo because it brings commercial
leverage to bear for RTXC that before we didn't have available to us,"
said Alford Frost, COO and co-founder of Embedded Power Corporation.
"Lineo's worldwide sales and support channels bring significant clout
to penetrating the market with RTXC. Moreover, Lineo's sales and marketing
infrastructure gives RTXC a huge advantage because of its scale. These
leverage points are immediate for RTXC, and with them immediate growth
in our target markets."

FOR IMMEDIATE RELEASE

LINEO ANNOUNCES SECUREEDGE DEVELOPMENT PLATFORM

SecureEdge Platform Provides Foundation For Linux-based OEM Devices

NEW YORK - LinuxWorld - Jan. 31, 2001 - Lineo™, Inc., a leading innovator
in embedded Linux, real-time and high availability solutions, today launched
the SecureEdge™ hardware brand, the OEM development platform for Linux-based
appliances and devices. SecureEdge replaces the Lineo NETtel name and
will be the basis for future OEM appliances from Lineo. Currently the
product line includes the SecureEdge VPN Router and other SecureEdge brand
products are planned for later this year.

SecureEdge offers OEMs a flexible platform for adding and creating technologies
that are fully brandable. Current OEMs include Crossport Systems, LinuxWizardr
y, Enterasys and several others.

"SecureEdge Thin Servers (including the VPN Router) have been appealing
to OEMs because of our track record in getting their product to market
more quickly and cheaply than they can do themselves - we make money for
them," said Bryan Sparks, CEO of Lineo, Inc. "OEM partners will see a
myriad of possibilities with the SecureEdge platform that will make it
an appealing solution for future appliances and devices. If they can imagine
it then we can make it happen for them."

"We don't provide an unwieldy, restricted platform or generic design service
- we offer ready-made solutions for vertical markets," said Miles Gillham,
senior product marketing manager, Lineo, Inc. "We excel in bundles - which
we can entirely manufacture, offer as reference designs, or provide full
development teams. These are ready to be put in place as purpose-built
solutions such as set-top appliances, web proxy portals, information kiosks,
e-commerce accelerators, or a host of other specialized purposes. And
every one of these is a full-featured VPN security appliance underneath."

"The Lineo difference is the head start that we give you. Many of our
customers are still amazed at our versatility. At the heart of that is
our deep understanding of Linux coupled with our vast electronics engineering
design team. Our customers learn a lot from us," said Gillham.
